Terms of service

These terms are an agreement between you and the individuals who operate While25(“While25”, “we”, “us”). They cover while25.com, your While25 account, While25 Desktop (the “App”) and the online services the App uses: sign-in, cloud sync and the AI assistant. Together, the “Service”.

The App is also covered by the licence agreement. How we handle personal data is in the privacy policy. The risk disclosure, AI disclosure and acceptable use policy form part of these terms. By creating an account, installing the App or using the Service you accept all of them. If you do not, do not use the Service.

You must be at least 18, legally able to enter this agreement, and permitted to trade where you live. Give accurate details when you sign up. An account is for one person; do not share it.

While25 is software for traders. It shows market data, charts instruments, places and manages orders, builds and tests strategies, runs your own Python code and offers an AI assistant, all through broker accounts you connect yourself.

We are not a broker, exchange, bank, investment adviser, research analyst or portfolio manager. We hold no money or securities for you, we do not execute your orders, and we give no investment, financial, tax or legal advice. When you place an order the App sends it from your computer to your broker using your own credentials. Your broker, not While25, executes it. We do not supply trading strategies or signals, and nothing on the site or in the App is a recommendation or an offer to buy or sell anything.

Screenshots, diagrams and examples illustrate how the software works. Figures in them, including any simulated performance, are illustrative and are not a record of trading or a projection of results.

The Service is currently free, as early access. Registering does not guarantee a seat; seats go out in batches and we decide who gets one and when. Features, limits and availability may change, shrink or stop at any time. We may introduce paid plans later; we will not charge you unless you agree to pay.

Keep your password and devices secure, and tell us at hello@while25.com if you think someone else has used your account. What happens under your account is your responsibility. Signing in on a new computer may sign you out elsewhere, and only one computer at a time may manage the same broker account through While25.

You connect your own broker accounts with your own logins and API keys. You are responsible for:

• keeping to your broker's terms and to the rules of every exchange, regulator and jurisdiction that applies to your trading, including rules on API access, automated or algorithmic trading, order rates, IP registration and strategy registration;
• every order sent from the App to your broker, whoever or whatever created it: you, a strategy, an automation, or the AI assistant acting on your confirmed instruction;
• checking your positions, orders and balances directly with your broker.

We are not responsible for what any broker, exchange or data provider does or fails to do, including rejected, delayed or incorrect orders, fees, outages or inaccurate data.

Trading stocks, options, futures, currencies and other instruments carries substantial risk, and you can lose money. With margin, short selling or derivatives you can lose more than you put in. Backtests, paper trading, charts, indicators and past results do not predict future results. What, when and how to trade is your decision alone. The full statement is the risk disclosure.

Read this section carefully.

• Stops are held by the App, not by your broker. Stop, stop-limit, trailing and bracket exits, entry triggers and other conditional orders you create in While25 are watched and fired by the App on your computer. They are not placed at your broker as native stop orders.
• They only work while the App is running. They do not work while the App is closed, starting, restarting or updating; while your computer is asleep, offline or off; while your connection to your broker or to market data is down; or if the App or your computer crashes. They can also fire late, early, more than once or not at all because of delayed, missing or wrong market data.
• Live strategies trade on their own. Once you allow a strategy to trade live, it places real orders whenever its rules trigger, without asking you again.
• You must supervise. If you cannot keep the App running and watched, keep the protective orders you depend on at your broker.

We are not liable for losses caused by a trigger that did not fire, fired unexpectedly or fired more than once.

The assistant uses third-party AI models. Its answers are generated automatically, can be wrong, incomplete or out of date, and are not investment advice. Check anything important before you act on it.

It can see what the App shows it (for example your positions, orders, funds, charts and code) and can act inside the App within the limits the App sets: changing charts, writing and running Python code on your computer, preparing orders for you to submit, and cancelling orders or stopping strategies after you confirm. It cannot place an order or start a live strategy itself. You are responsible for what you ask it to do and for reviewing what it does. Details are in the AI disclosure.

Scripts, strategies, indicators, panels, layouts, custom instructions and anything else you create (“your content”) stay yours. You give us a limited licence to store, copy, sync, process and display your content only as needed to run the Service for you. We do not use it to train models. You are responsible for your content and must have the right to use it. Do not upload anything unlawful or malicious.

The site, the App, their text, design and code, and the While25 name and marks are ours or our licensors'. You may read, print and share pages of the site for your own use and quote us with attribution. You may not copy the site, scrape it at scale, or use our name or marks to suggest we endorse you. Other companies' names and marks belong to them; see the third-party notices.

You must keep to the acceptable use policy. In short: no market abuse, no attacking or overloading the Service, no getting around sign-in, account checks, limits or safety controls, no redistributing the Service or market data, and no sharing your account.

The Service works with services we do not control, including brokers, market-data and news providers, AI model providers and Google sign-in. Your use of them is governed by their own terms, and they may change or stop without notice. A link to another site is not an endorsement.

You can stop using the Service at any time and ask us to close your account and delete your data (see the privacy policy).

We may suspend or end your account, or your access to all or part of the Service including the App's ability to sign in, if you break these terms, if we see a security or legal risk, or if we change or discontinue the Service. Where the breach can be fixed and there is no urgent risk, we will tell you first. When access ends, your licence to use the App ends too.

If access ends, or the App stops for any other reason, while you have open positions, the App's stops and automations stop protecting them (see section 8). Manage your positions directly with your broker.

We may change the Service and these terms. If a change is significant we will tell you in the App, on the site or by email before it takes effect, and where required we will ask you to accept it again. If you keep using the Service after a change takes effect, you accept the updated terms. The date at the top is always the current version.

As far as the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Service will be uninterrupted, secure or error-free, that data will be accurate or timely, that anything will be profitable, or that orders or triggers will be sent, filled or fired.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited. Subject to that, and as far as the law allows:

• we are not liable for trading losses: losses from any order, position, strategy or trading decision made using the Service, including from errors in code, from missed, delayed, duplicated or rejected orders, from wrong or late data, or from a strategy or trigger behaving other than you expected;
• we are not liable for lost profits, opportunities, data or goodwill, or for indirect, incidental, special, consequential or punitive loss, even if we were told it was possible;
• our total liability for all claims relating to the Service is limited to the greater of what you paid us in the 12 months before the claim (currently nothing) and USD 50 or its equivalent in Indian rupees.

We have no way to know or control what you trade, in what size or with what leverage, and your money is never ours to hold; these limits reflect that.

You agree to compensate us for claims, losses and costs (including reasonable legal fees) arising from your use of the Service, your trading, your content, or your breach of these terms or of any law or third-party right.

These terms are governed by the laws of India, and the courts of Ahmedabad, Gujarat have jurisdiction over disputes. If you are a consumer, you keep the protection of the mandatory laws of the country you live in and may bring proceedings there.

These terms and the documents they name are the whole agreement between you and us about the Service. If a part is unenforceable, the rest still applies. If we do not enforce a right, we have not waived it. You may not transfer these terms; we may transfer them, for example to a company we form to run While25.
